1Agreement to these terms
This website is operated by TheBrandSpur LLC, a limited liability company formed in the State of Wyoming, United States (“TheBrandSpur,” “we,” “us,” “our”). References to the “Site” mean thebrandspur.com and any page, form, or tool we make available through it.
By accessing or using the Site, you agree to these Terms of Use. If you do not agree, do not use the Site.
2Relationship to client agreements
These terms cover your use of the Site only. They are not a services agreement and they do not create a client relationship.
If you engage TheBrandSpur, that engagement is governed by the Scope of Work, Master Services Agreement, order form, or statement of work signed between you and us. Where anything in those documents conflicts with these terms in respect of the services we deliver to you, the signed agreement controls.
3Who may use this site
The Site is intended for businesses and the people who represent them. By using it, you confirm that you are at least 18 years old, that you are using it for business purposes, and that if you act on behalf of a company you have authority to bind that company to these terms.
The Site is not directed at consumers or at children, and we do not knowingly collect information from children.
4Information on this site
The Site describes what we do and how we work. It is provided for general information. It is not an offer, a quotation, a commitment to provide services, or a guarantee of any particular result.
- Statements about forecasting horizons, stockout prevention, cost savings, recovery of funds, delivery timelines, and similar outcomes are illustrative of our approach. They describe capability, not a promised result for your brand.
- Figures such as the number of brands, SKUs, or suppliers we work with are approximate and reflect a point in time.
- Case studies, client logos, and testimonials reflect individual experience. Results vary with product, category, channel, supply base, budget, and factors outside our control.
- Pricing, service descriptions, features, and availability may change without notice. Only a signed agreement defines what we will deliver to you, on what terms, and at what price.
We work to keep the Site accurate but do not warrant that it is complete, current, or error-free, and we may change or remove content at any time.
5No professional advice
TheBrandSpur is a supply chain and e-commerce operations provider. We are not a public accounting firm, a tax advisor, a customs broker of record, a law firm, a licensed financial advisor, or a broker-dealer, and nothing on the Site is accounting, tax, customs, legal, valuation, or investment advice.
Where our services include bookkeeping support, profit and loss preparation or reconstruction, add-back or seller discretionary earnings analysis, landed cost and cost of goods calculation, cash flow forecasting, budget estimation, profitability analysis, or exit preparation, the output is management information prepared for your internal use. It is based on data you and your platforms supply, it is not an audit, review, or compilation performed under professional standards, and it does not replace review by your own accountant, tax advisor, attorney, or broker. You remain responsible for your books and records, your tax and regulatory filings, your customs declarations, and your product compliance obligations.
6Marketplaces and platforms
Amazon, Shopify, TikTok Shop, and other marketplaces, carriers, freight forwarders, warehouses, and software providers referred to on the Site are independent third parties. Their names and logos are the property of their respective owners. We are not affiliated with, endorsed by, sponsored by, or acting as an agent of any of them unless we expressly say so in writing.
Those platforms set and change their own policies, fee schedules, reimbursement rules, and enforcement decisions. We perform our work within the applicable platform policies, but outcomes that sit with a platform are outside our control, including account standing and suspensions, listing decisions, feedback and review moderation decisions, reimbursement and claim decisions, fee and size-tier determinations, storage and placement decisions, and inbound receiving results. We do not guarantee any such outcome.
You are responsible for your own compliance with the terms of service and policies of every platform you sell on.
7Client names and trademarks
“TheBrandSpur,” “TaskSpur,” “ShipSpur,” and our logos and taglines are trademarks of TheBrandSpur LLC. You may not use them without our prior written permission.
Client names and logos shown on the Site are the trademarks of their respective owners and are displayed for identification only. Their appearance does not imply that those companies endorse or are responsible for any statement on the Site.
8The TheBrandSpur platform
We operate online tools including TaskSpur, ShipSpur ERP, and ShipSpur Logistics, together with demonstration environments and client portals (the “Platform”). These terms apply to the Platform in addition to the Site.
Access and accounts
Platform access is granted to clients and to invited users, and may be suspended or withdrawn. You are responsible for keeping credentials confidential, for the activity of every user you authorize, and for telling us promptly at info@thebrandspur.com if you believe an account has been compromised. Do not share logins or allow access by anyone who is not permitted to see your data.
Demonstration environments and preview features
Demonstration environments, including demo.shipspur.com, are provided for evaluation only. They may contain sample or synthetic data, may be reset without notice, and must not be used for live operations or loaded with confidential or personal data. Features labeled coming soon, preview, beta, or similar, including ShipSpur Logistics, may change substantially or be withdrawn, and are provided without any service commitment.
Your data
As between you and us, you retain ownership of the data you or your connected systems provide to the Platform. You grant us the rights needed to host, process, and display that data in order to operate the Platform and perform the services, and to use aggregated and de-identified data that does not identify you or your brand to maintain and improve our systems. Where you have a signed services agreement or data processing addendum with us, those documents govern the handling of your data and prevail over this section. Personal data handled by ShipSpur is described in the ShipSpur Privacy Policy.
You confirm that you have the right to supply the data you provide, including any credentials or authorized access you grant us to your marketplace, warehouse, carrier, or accounting accounts.
Availability
We aim to keep the Platform available, but unless a service level is stated in a signed agreement it is provided without any uptime commitment. We may modify, suspend, or discontinue any part of the Site or Platform, including integrations with third-party systems that are themselves subject to change.
Restrictions
You may not copy, modify, reverse engineer, decompile, create derivative works from, rent, resell, sublicense, or provide access to the Platform to third parties; circumvent access controls, rate limits, or security features; publish benchmarks or performance tests; or use the Platform to build a competing product.
9Artificial intelligence features
Parts of our Site, Platform, and services use automated and machine learning systems, for example demand forecasting, reorder and safety stock calculation, supplier risk signals, freight cost comparison, quality control image review, and reconciliation matching.
These systems produce estimates and flags, not facts. Output can be incomplete or wrong, particularly where input data is incomplete or where conditions change. Material decisions are reviewed by our team, and you should not treat automated output as a final decision or rely on it without your own judgment. We do not warrant the accuracy of any forecast, score, estimate, or flag.
10Inventory audit requests
Submitting the inventory audit form, booking a call, or contacting us does not create a contract, an engagement, or any obligation on either side. We may decline any request, and we may contact you about your inquiry using the details you provide.
You agree that the information you submit is accurate and that you are entitled to share it. The form asks only for the contact and business details described in our Privacy Policy. Please do not use it to send confidential, commercially sensitive, or regulated information, account credentials, or personal data about other people; share those with us only once an engagement and the appropriate confidentiality terms are in place.
11Intellectual property
The Site and Platform, and all content in them (text, copy, graphics, diagrams, process models, dashboards, report formats, templates, trackers, checklists, methodologies, software, and design), are owned by TheBrandSpur LLC or our licensors and are protected by intellectual property laws.
You may view the Site and print or download content for your own internal business evaluation. You may not otherwise copy, republish, distribute, adapt, sell, or exploit it, and you may not remove any proprietary notice. All rights not expressly granted are reserved.
If you believe material on the Site infringes your copyright, contact us at info@thebrandspur.com with enough detail to identify the work and the material in question.
12Acceptable use
You agree not to:
- scrape, crawl, harvest, or use automated means to extract content, contact details, or data, except by a search engine indexing the Site in the ordinary way;
- attempt to gain unauthorized access to any account, system, or network, or probe, scan, or test for vulnerabilities;
- introduce malware, or interfere with or place unreasonable load on the Site or Platform;
- use forms or contact channels to send spam, solicitations, or unlawful content;
- misrepresent your identity or your affiliation with any person or organization;
- use the Site or Platform in breach of any applicable law, sanctions, or export control, or in breach of any marketplace policy.
We may restrict or terminate access to the Site or Platform at any time, with or without notice, including for breach of these terms.
13Feedback
If you send us suggestions, ideas, or feedback about the Site, the Platform, or our services, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or obligation to you. Please do not send us information you consider confidential outside a signed agreement.
14Third-party links
The Site links to third-party websites and services, including taskspur.xyz, shipspur.com, and demo.shipspur.com, and to platforms operated by others. Links are provided for convenience. We are not responsible for third-party content, products, or practices, and your use of those sites is subject to their own terms.
15Privacy
Information you submit through the Site is handled as described in our Privacy Policy, which forms part of these terms.
Our software products have their own privacy notices, which apply to data processed through them: see the ShipSpur Privacy Policy. Where we process data on behalf of a client, that processing is governed by the client’s signed services agreement and any data processing addendum, not by these notices.
16Disclaimer of warranties
THE SITE AND PLATFORM ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, THEBRANDSPUR LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE OR PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY CONTENT, FORECAST, OR ESTIMATE IS ACCURATE OR COMPLETE.
17Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THEBRANDSPUR LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SALES, GOODWILL, DATA, INVENTORY VALUE, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR PLATFORM, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR PLATFORM WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND DOES NOT APPLY TO LIABILITY ARISING UNDER A SIGNED SERVICES AGREEMENT, WHICH IS GOVERNED BY THAT AGREEMENT.
Some jurisdictions do not allow certain exclusions or limitations, so parts of sections 16 and 17 may not apply to you.
18Indemnification
You agree to indemnify and hold harmless TheBrandSpur LLC and its members, officers, employees, contractors, and agents from any claim, loss, liability, cost, or expense, including reasonable legal fees, arising out of your use of the Site or Platform, your breach of these terms, your violation of any law or third-party right, or the data or credentials you provide to us.
19Events beyond our control
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, fire, flood, severe weather, epidemic, war, terrorism, civil unrest, labor action, port congestion or closure, carrier or forwarder failure, customs or border delays, government action, sanctions, changes in marketplace policy, utility or internet failure, cyber attack, or failure of a third-party platform, warehouse, or supplier.
20Changes to these terms
We may update these terms from time to time. The current version is always posted here with its effective date. Changes take effect when posted, and your continued use of the Site after that constitutes acceptance. If a change is material we will make reasonable efforts to highlight it.
21Governing law and venue
These terms and any dispute arising out of or relating to them or the Site are governed by the laws of Pakistan, without regard to its conflict of laws rules. You and we agree to the exclusive jurisdiction of the courts of Pakistan, and each waives any objection to venue there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before filing a claim, you agree to contact us at info@thebrandspur.com and attempt to resolve the matter informally for at least thirty (30) days.
Legal notices under these terms must be sent to the registered office address in section 23, with a copy by email to info@thebrandspur.com.
22General
If any provision is found unenforceable, it will be limited or severed and the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These terms, together with the Privacy Policy and any signed agreement between us, are the entire agreement regarding your use of the Site. Headings are for convenience only. Nothing in these terms creates a partnership, joint venture, employment, or agency relationship.
